1. Payment:
VAULTMASTERS accepts Visa, MasterCard, American Express, business checks, personal checks, and wire transfers. On single item safe orders, all fees are included. On large orders and non safe orders, there is a mandatory 3 % credit card fee added – if using a credit card. All orders are processed with a 50% deposit, which is required to start production of any product, and the balance is due upon completion and prior to shipping. 100% of your payment must be received prior to shipping your item. Requests for billing adjustments and merchandise corrections must be made within 30 days of receipt of merchandise. Overseas bound orders and custom made product orders must be paid 100% at time of ordering.
2. Late Charges & Storage Fees:
A full payment balance is due upon completion of any product. A 2.0 % interest charge will be added each month that payment is not made. If your product is not shipped within 14 days of completion, you will incur a $ 5.00 handling and storage charge, per square foot of crated product, per month and a new shipping quotation will be needed after 3 months of storage. A $ 50.00 FEE will be added to all accounts submitted for collection.
3. Installation Services.
VAULTMASTERS supplies optional installation and testing services, depending on your item. On some items installation and testing is mandatory. We cannot guarantee the ability to install and test depending on your geographical area, however, we can usually provide these services anywhere in the continental U.S.A. It is the customer’s responsibility to provide an accessible unloading area at your facility and accessibility to your door installation area or safe location – with a free and clear and unobstructed path from the unload area to the area receiving the new door, window, safe or other item. If your item is going on an upper or lower level of your building, it is the customer’s responsibility to transport that item to that location. If VAULTMASTERS is installing this item, the customer shall have this item transported immediately upon arrival of the item at your site, so that the installation crew can immediately install and test your item. Delays may incur in additional fees and a second trip to the site with billable trip charge and additional labor charges.
4. Personal Information.
Upon purchase of any VAULTMASTERS products or services, you may be asked to supply certain information about your delivery location and installation requirements. In the event you choose to provide VAULTMASTERS with personally identifiable information about yourself or your company, by providing this information to us, you expressly consent to being contacted by via phone, fax, email, mail or other reasonable means, at any of your contact numbers or addresses, in order that we may provide the delivery and installation services for which you have provided your personally identifiable information. No personal customer information will be shared or sold or sent to other companies for customer lists, etc.
5. Indemnification.
The Customer agrees to indemnify VAULTMASTERS, and it’s OFFICERS, EMPLOYEES, AGENTS, CO-BRANDERS, AND OTHER BUSINESS PARTNERS and hold them each harmless from any and all claims or demands, including Attorney’s Fees, made by any third party – due to or arising from the customer’s use of the delivery Services and/or Installation Services, and/or the customer’s use of the VAULTMASTERS WEBSITE, the customer’s violation of these TERMS AND CONDITIONS or otherwise arising from the customer’s violation of any rights of a third party involved including any delivery service company or third party installation and testing services which may be used.
6. Product Finishes:
See our website descriptions for standard colors of our safes, doors, windows and other items. Custom colors are available upon request, depending on the item involved.
7. Product Completion and Shipping Delays:
Delays in production and shipping may occur. At VAULTMASTERS, we work hard to get your purchase to you as fast as possible. We take great care to insure that every item that we sell meets the highest standards and craftsmanship. In most cases, delays occur due to, holidays, factory production delays, unforeseen complications, busy seasons, shortages, or other factors not in our control. We will make every effort to quote you accurate lead times at the time of your purchase. The customer will hold VAULTMASTERS and it’s suppliers or installers harmless of any legal action due to arising unforeseen delays.
8. Shipping and Receiving your item & Carrier Damage Claims:
All freight should be visually inspected prior to signing for delivery. Please note on the delivery receipt “Damage to Package and Subject to Inspection” if there is any visible damage to the crate. Safes shipped directly to the customer are shipped F.O.B. Failure of the customer to mark any delivery ticket with damage claim verbiage on your delivery ticket will result in the customer’s inability to make a proper damage claim against the freight company. If damage occurs during shipping of your item, it is the customer’s responsibility to make a freight claim for the cost of your item – with the freight company delivering your product. Once the product leaves our facility, VAULTMASTERS is not responsible for the product. If VAULTMASTERS is not delivering and installing your item, it is the customer’s responsibility to receive and unload your item once it arrives, with your proper inspection performed.
9. Customer’s Correct Shipping Address Guarantee:
If your item ( Customer’s Item ) is shipped to the shipping address given, at time of ordering, and is returned to VAULTMASTERS as “undeliverable”, ( the customer agrees to pay ) – for the return shipping to the factory, assessed by the delivery company, ( PLUS ) a second charge will be assessed to ship the item again – a second time – to a correct deliverable address. Please ensure the delivery address given at time of ordering is correct and deliverable by USPS, UPS or FedEx.
10. Return of Goods:
Written permission must be obtained before returning any merchandise. In that event, all material returned to VAULTMASTERS must be freight prepaid by the customer. Orders cancelled before the product is complete will be issued a full refund, less 25% charge to cover restocking, credit card fees, and processing fees. Orders cancelled after the product is complete will be issued a full refund, less 50% charge to cover restocking, credit card fees, and processing fees. Returns will be issued a full refund less a 50% charge to cover restocking, credit card fees, processing fees and less shipping and handling fees both ways.
11. Return Policy of Custom Orders:
We do not accept returns for custom ordered products. Cancellation of orders may be made within 24 hours of payment only.
12. Installations & Customer Pick-up:
VAULTMASTERS will coordinate your installation with you when your product is almost ready. If incorrect information is given for the referred installation, additional charges may occur. Installers are not responsible for moving furniture or other fixtures. Customer is responsible for a free and clear unobstructed path to the work area and all door & window openings shall be completely correct at time of installation. Incorrect door or window opening sizes will cause a second trip to the site and would be billable to include extra labor charges and travel fees, etc. For products that are picked up at will-call by the customer, VAULTMASTERS will not be held responsible for damages in shipment and installation.
13. Acts of God:
VAULTMASTERS shall be excused for any failure or delay in performance which might be due, in part or in whole, directly or indirectly, for any loss or damage caused by acts of God, accident or casualty, in time of war or warlike activities, insurrection, civil commotion, supply chain problems, labor shortages, engineering, or transportation difficulties, acts of any government, labor strikes, blockades, boycotts, lockouts or any other causes, whether or not similar in nature to those specified herein, beyond VAULTMASTERS’ control.
14. Attorney’s Fees:
Should any legal action be commenced, the prevailing party in such legal action shall be entitled to recover reasonable attorney fees and costs, including the costs of expert witnesses.
15. Mediation and Arbitration:
Should any dispute arise regarding this agreement or lack of payment for goods, etc., the complaining party shall first, before filing a lawsuit, and demand that the dispute be submitted to mediation in front of a certified mediator. If mediation does not bring about a resolution to the dispute, then the matter shall be submitted to binding arbitration in front of an arbitrator. The arbitrator’s award shall then be entered into the Superior Court of Mississippi, County of Hinds.
16. Grant of Security Interest:
Customer hereby grants to VAULTMASTERS, its successors, and assigns, a security interest in any and all products supplied by OR installed by VAULTMASTERS , in order to guarantee payment of all sums owed to VAULTMASTERS for the material AND labor provided.
17. Governing Law and Venue:
This agreement shall be governed and construed in accordance with the laws of the State of Mississippi.
VAULTMASTERS and/or its suppliers have no liability for lost profits, loss of business, or other consequential, special, indirect, or punitive damages, to customer or for any claim by any third party except as expressly provided for in this Agreement. In no case shall VAULTMASTERS liability for damages exceed the invoice amount paid by customer. Customer may not assign this Agreement without VAULTMASTERS’ prior written consent.
18. Partial Invalidity:
If any provision of this Agreement is void or unenforceable, the parties agree to delete it and agree that the remainder of this Agreement will continue to be in effect.
19. Contract Confirmation:
By ordering goods and services from VAULTMASTERS, the customer does hereby enter into agreement with VAULTMASTERS and does hereby agree with all of the above binding Terms and Conditions of sale and installation services herein. All sales are final, unless express consent is granted from VAULTMASTERS, LLC.
